The terms that govern use of the Scalient IQ website and services.
These Terms of Service ("Terms") are a binding agreement between you and Scalient IQ, LLC ("Scalient IQ," "we," "us," or "our"). They govern your access to and use of the Scalient IQ website, the GTM Signal Assessment, the always-on subscription, reports, and related services (together, the "Services"). By accessing the website or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Scalient IQ is a read-only, go-to-market intelligence and revenue diagnostic. It connects to systems you authorize through standard read-only permissions, surfaces visible revenue leaks across pipeline, data, deals, and AI-search visibility, and estimates the potential dollar impact where the connected data supports modeling. Scalient IQ provides intelligence and a recommended play. It is the instrument panel, not the driver.
Scalient IQ does not write to, modify, delete, send from, or execute actions inside your systems under the model described on this website. Your team remains responsible for execution and for all decisions made using the Services. Any separate implementation or execution service, if offered, is governed by a separate written agreement.
The Services are intended for business use by organizations and the personnel they authorize. By using the Services you represent that you are at least 18 years old and are authorized to act on behalf of your organization.
To use certain Services you or your organization authorize read-only connections to third-party systems (for example, your CRM). You represent and warrant that you have the authority and any necessary consents to connect those systems and to permit read-only analysis of the associated data. You are responsible for maintaining the confidentiality of your credentials and for activity under your account. You may revoke connections at any time.
You agree not to: (a) use the Services in violation of applicable law; (b) reverse engineer, resell, sublicense, or provide the Services or reports to third parties except as permitted in Section 6; (c) use the Services to benchmark against or build a competing product; (d) interfere with or disrupt the Services; or (e) misrepresent Scalient IQ outputs as guarantees or certified results.
Scalient IQ and its licensors own all right, title, and interest in the Services, including the Scalient IQ platform, the GTM Signal Matrix, scoring methodology, connectors, software, and the structure, formatting, and methodology of reports and deliverables. Subject to these Terms, Scalient IQ grants your organization a limited, non-exclusive, non-transferable, revocable license to use the deliverables provided to you for your internal business purposes.
You may not reproduce, distribute, publicly display, benchmark, or create derivative works from Scalient IQ deliverables or methodology, or remove any proprietary notices, without Scalient IQ's prior written consent. Feedback you provide may be used by Scalient IQ without obligation to you.
Scalient IQ accesses connected data on a read-only basis and handles personal information as described in our Privacy Policy and, where applicable, a Data Processing Agreement (available on request). You are responsible for the accuracy and legality of the data you connect and for providing any notices or obtaining any consents required for that data.
Scalient IQ outputs, including dollar figures, pipeline impact, and upside ranges, are modeled estimates provided for business discussion purposes. They are not guarantees of revenue, pipeline recovery, deal velocity, sales performance, or any other outcome, and they are not legal, financial, investment, or professional advice. Actual results depend on your team's execution, data quality, market conditions, your sales process, and third-party platform changes.
The Services connect to and reference third-party tools and, for AI-search visibility, third-party AI-answer engines such as ChatGPT, Perplexity, Gemini, and Claude. Scalient IQ does not control those systems. AI-search visibility results are point-in-time diagnostics and may vary by model, prompt, context, geography, timing, and third-party changes. Your use of third-party services is governed by their own terms.
The Services and all deliverables are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Scalient IQ does not warrant that the Services will be uninterrupted, error-free, or that outputs will be complete or accurate.
To the maximum extent permitted by law, Scalient IQ will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or business opportunities, arising out of or related to the Services. Scalient IQ's total liability for any claim arising out of or related to the Services will not exceed the amounts paid by your organization to Scalient IQ for the Services giving rise to the claim in the 12 months preceding the event.
You agree to indemnify and hold Scalient IQ harmless from claims arising out of your breach of these Terms, your misuse of the Services, or your connection of data you were not authorized to connect.
These Terms apply while you use the Services. Scalient IQ may suspend or terminate access for violation of these Terms or as required by law. Sections that by their nature should survive termination will survive.
Scalient IQ may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. The parties agree to the exclusive jurisdiction of the courts located in Illinois for any dispute not subject to any separate agreement to arbitrate.
